Baddi™ GPT Membership Terms & Conditions

Effective Date: [4/25/2025]

By purchasing, subscribing to, accessing, or promoting Baddi™ GPT (hereafter referred to as “Baddi™”), you agree to the following Terms & Conditions, which are legally binding and enforceable.

1. License to Use 

Upon purchase or subscription, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use Baddi™ GPT solely for your personal or business use within your own business operations.

 You are prohibited from:

• Reproducing, duplicating, reselling, redistributing, or repurposing any part of Baddi™.
• Sharing access with clients, team members, contractors, or any third parties without prior, written authorization.
• Using any aspect of Baddi™ to develop, enhance, or train your own AI tools, software, or products.
• Creating derivative AI systems, frameworks, or prompt libraries based on or inspired by Baddi™’s intellectual property.

Violation of this section will result in immediate termination of your membership without refund and may result in legal action for breach of contract, intellectual property theft, and damages.

2. Membership Access & Payment Terms

Access to Baddi™, the Smart Girl Scale Society, and the Baddi™ Community is contingent upon maintaining an active, successfully billed membership.

If a payment fails, is canceled, or if your account otherwise falls into non-payment status: 

• Your access to Baddi™, the Smart Girl Scale Society, and the Baddi™ Community will be revoked immediately.
• You will lose access to all community trainings, monthly access links, prompt libraries, support forums, and GPT functionality.
• To regain access, you must re-enroll and re-establish an active paid membership, at the then-current membership rate and conditions.

Continued access to Baddi™ is 100% dependent on successful monthly payments. No exceptions.

3. Access Credentials & Monthly Link Delivery

Each Baddi™ user will receive a monthly updated access link inside the Baddi™ Community (hosted in the Smart Girl Scale Society on Kajabi).

It is the member’s sole responsibility to:

• Log in monthly to retrieve the latest access link.
• Keep their community login credentials secure and private.

Failure to retrieve monthly updates will not constitute grounds for a refund or chargeback dispute. 

4. Intellectual Property Protection & Duplication Policy

All Baddi™ materials, frameworks, custom GPT training, prompts, workflows, and outputs are the exclusive intellectual property of Elyse Pickle Jaworski and NOLI JUNE, LLC.

You are strictly prohibited from:

• Copying or reverse-engineering any part of Baddi™.
• Training any external AI model with Baddi™ outputs.
• Using Baddi™ outputs or strategies for development of a competing product, coaching program, or AI tool.
• Selling, licensing, redistributing, or publicizing Baddi™-generated materials.

Violators will be pursued legally for intellectual property infringement, with claims for damages, legal costs, and injunctive relief.

5. Affiliate Program Terms 

If you participate in the Baddi™ Affiliate Program:

• You must maintain an active, paid subscription to Baddi™ in good standing in order to be eligible to receive affiliate commissions.
• If your membership is canceled, expired, or terminated for any reason, you immediately forfeit eligibility for future commissions, even for prior referrals.
• Reinstatement into the Affiliate Program after cancellation is not guaranteed and is at the sole discretion of  NOLI JUNE, LLC.
• Affiliate links, payouts, and terms are subject to change at any time with or without notice.

Affiliate commission abuse, unethical promotions, false claims, or misrepresentation will result in immediate removal from the program and legal pursuit if necessary.

6. Refund Policy

Due to the nature of digital access and the proprietary systems involved, all sales are final.

No refunds, credits, or partial refunds will be provided under any circumstances once Baddi™ access is granted, regardless of usage, login frequency, or satisfaction.

By purchasing or subscribing, you acknowledge that you are purchasing immediate access to proprietary tools and strategies, and therefore waive any right to dispute charges based on dissatisfaction or change of circumstances.

7. Termination of Access

Elyse Pickle Jaworski via NOLI JUNE, LLC reserves the right to terminate your access to Baddi™, the Smart Girl Scale Society, and the Baddi™ Community at any time, with or without notice, for: 

• Breach of any of the terms outlined in this agreement.
• Misuse of Baddi™ intellectual property.
• Disruptive, harmful, or unethical behavior within the community.
• Unauthorized sharing of access credentials or GPT outputs.

Termination for cause does not entitle you to any refund, credit, or reinstatement.

8. Modification of Terms

These Terms & Conditions may be updated at any time without prior notice.

Your continued use of Baddi™ after such changes constitutes your agreement to the updated Terms.

It is your responsibility to review these Terms & Conditions regularly to stay informed of any changes.

9. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles.

Any disputes arising out of these Terms shall be resolved exclusively in a court of competent jurisdiction in Shelby County, Tennessee.
